Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and now. ("Company," "we," "our," or "us") governing your access to and use of the now. mobile application and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Description of Service

now. is a double-entry bookkeeping software application designed to help business owners:

  • Connect bank accounts and credit cards to automatically import transactions via Plaid, with a user-selected start date.

  • Categorize and organize financial transactions, with optional AI-powered automatic categorization.

  • Manage customers, vendors, products, and services.

  • Track inventory using a perpetual, weighted-average-cost method, with manual quantity adjustments and an inventory-movement audit trail.

  • Create and track invoices (accounts receivable) and bills (accounts payable), including partial payments and per-line tax amounts.

  • Record sales tax collected from customers (Sales Tax Payable) and purchase tax paid on bills (Sales Tax Paid).

  • Record internal transfers between accounts.

  • Create and manage a chart of accounts with parent/sub-account hierarchies.

  • Create manual journal entries with full double-entry debit/credit support.

  • Generate financial reports including Balance Sheets, Profit & Loss statements, Trial Balances, and General Ledger reports, with export capabilities.

  • Reconcile bank accounts against statements.

  • Close accounting periods and set lock dates to protect historical records.

  • Attach receipt and check images to transactions for record-keeping.

  • Interact with an AI-powered voice assistant ("Eon") that answers questions about your financial data.

  • Manage your business profile, including entity type, industry, and fiscal year configuration.

  • Secure the app with optional biometric authentication (Face ID, Touch ID, or Optic ID).

THE SERVICE PROVIDES BOOKKEEPING TOOLS AND SOFTWARE FEATURES ONLY. WE DO NOT PROVIDE:

Accounting advice or opinions.

  • Tax advice, tax preparation, or tax filing services of any kind, including but not limited to income tax, sales tax, use tax, and payroll tax.

  • Financial planning or investment advice.

  • Legal advice of any kind.

  • Audit, attestation, or assurance services.

now. is not a substitute for a Certified Public Accountant, accountant, attorney, or other qualified tax or financial professional. Any information, reports, or AI-generated content provided through the Service is for informational and organizational purposes only and should not be relied upon as professional advice. You should consult with qualified professionals for advice specific to your situation.

No Fiduciary Duty

We do not have a fiduciary duty to you. Our role is limited to providing software tools. We are not responsible for business decisions you make based on information displayed in the Service.

AI Limitations

The Service includes AI-powered features, including:

  • Automatic Transaction Categorization

    AI analyzes transaction descriptions and suggests categories, vendors, and customers. Only categorizations with high confidence (95% or above) are applied automatically. If you manually categorize a transaction while AI processing is in progress, your categorization takes precedence.


  • Eon Voice Assistant

    An AI assistant that answers questions about your financial data. Eon is read-only and cannot execute transactions or modify your data.

ⓘ Important

AI-assisted categorization is a tool. You remain solely responsible for the accuracy of your books for tax, regulatory, and legal purposes. AI features are assistive tools and may produce errors. AI-suggested categorizations may be incorrect. AI responses may be inaccurate, incomplete, or inappropriate for your specific situation. You are responsible for reviewing, verifying, and correcting all AI-generated categorizations and information.

AI features do not:

• Provide tax advice.

• Execute transactions or modify your actual bank accounts.

• Replace the judgment of qualified professionals.

Voice Assistant

The Eon voice assistant is a convenience feature only. It is not financial, tax, or legal advice. It is read-only — it cannot post, modify, or delete journal entries, invoices, bills, inventory, or any other records. Responses are generated by AI and may be inaccurate or incomplete. You should verify any information provided by the voice assistant before acting on it.

Inventory and Cost of Goods Sold

The Service tracks inventory on a perpetual basis using a weighted-average-cost method. Quantity-on-hand, inventory value, and cost of goods sold ("COGS") are computed automatically as you record bills, invoices, and manual adjustments. Inventory and COGS values shown in the Service are estimates produced by the software's calculation method and the data you have entered. They are not a substitute for a physical inventory count, an independent valuation, or professional accounting judgment. Year-end and tax-time inventory and COGS figures should be reviewed with a Certified Public Accountant or other qualified professional before being used for tax filings or financial statements.

Sales Tax

The Service allows you to enter sales-tax amounts and rates on invoices and bills, and to track Sales Tax Payable and Sales Tax Paid in your chart of accounts. The Service does not file, remit, or pay sales tax on your behalf. It does not determine whether a transaction is taxable, calculate tax based on jurisdictional rules, or verify that the rates you enter are correct. All tax rates and amounts are user-supplied. You are solely responsible for determining your sales-tax obligations, applying correct rates, collecting tax from customers, and remitting tax to the appropriate authorities by the applicable deadlines. We strongly recommend consulting a qualified tax professional.

Accuracy of Bank Data

Transaction data is imported from your financial institutions via Plaid. We do not control the accuracy, completeness, or timeliness of this data. Bank data accuracy depends on upstream providers (your financial institution and Plaid) and is not guaranteed. Delays, duplications, errors, omissions, retroactive changes, and outages may occur. Only posted transactions are imported; pending transactions are excluded. You are responsible for reconciling imported data against your bank statements

Accuracy of Data You Enter

The accuracy of your bookkeeping records also depends on:

  • The accuracy of information you enter manually (invoices, bills, journal entries, customers, vendors, products, services, inventory adjustments, opening balances, sales-tax rates).

  • Correct categorization of transactions (whether manual or AI-assisted).

  • Proper matching of payments to invoices and bills.

  • Proper reconciliation of bank accounts.

No Guarantee of Correctness

We do not guarantee that:

  • Financial reports generated by the Service are accurate or complete.

  • Account balances displayed are correct.

  • Transaction categorizations (whether AI-suggested or user-entered) are appropriate for your business or tax situation.

  • Inventory quantities or values match a physical count.

  • The Service will identify all transactions requiring attention.

  • Reports comply with Generally Accepted Accounting Principles (GAAP) or any other accounting standards.

  • Period closing or lock dates will prevent all possible data inconsistencies.

You are solely responsible for reviewing your financial data and reports for accuracy and consulting with qualified professionals as needed.

Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Service. The Service is not directed to children under 13. By using the Service, you represent and warrant that you meet these requirements.

Account Registration and Security

Account Creation

To use the Service, you must create an account using a valid email address and password, verified through a one-time password (OTP) sent to your email. You agree to:

  • Provide accurate and complete information.

  • Maintain the confidentiality of your login credentials.

  • Immediately notify us of any unauthorized access to your account.

  • Accept responsibility for all activities that occur under your account.

Account Security

You are responsible for maintaining the security of your account. The Service offers optional biometric authentication (Face ID, Touch ID, or Optic ID) as an additional layer of app-level security. We are not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to protect your credentials.

Subscription Ownership

Each subscription is tied to a single user account. We verify subscription ownership using Apple transaction identifiers to prevent unauthorized sharing of subscriptions across accounts.

Bank Account Connections

Plaid Integration

The Service uses Plaid to connect to your financial institution accounts. By connecting an account:

  • You authorize Plaid to access your account information on your behalf.

  • You acknowledge that Plaid's services are subject to Plaid's own terms and privacy policy.

  • You understand that connection availability depends on your financial institution's support for Plaid.

  • You choose a transaction start date for each connected account; only transactions on or after that date are imported.

  • You understand that an Opening Balance Equity entry will be created to record the initial balance of your connected account once historical data has finished loading.

Data Accuracy

Transaction data is imported from your financial institutions via Plaid. We do not control the accuracy, completeness, or timeliness of this data. Delays, errors, or omissions in transaction data may occur. Only posted transactions are synced; pending transactions are excluded.

Revocation

You can disconnect bank accounts at any time through the Service. Disconnecting stops new transaction syncing but previously synced transactions will remain in your account unless you delete them or your account. Upon account deletion, all Plaid access tokens are revoked.

User Responsibilities

Accurate Information

You are responsible for ensuring that all information you enter into the Service is accurate, including:

  • Business profile information.

  • Invoice and bill details, line items, and tax rates.

  • Customer and vendor information.

  • Products, services, opening inventory quantities and values, and inventory adjustments.

  • Transaction categorizations.

  • Journal entry amounts and account assignments.

  • Account assignments and chart of accounts structure.

  • Transaction attachments (receipt and check images).

Review and Verification

You agree to:

  • Review AI-suggested categorizations before relying on them.

  • Verify financial reports before using them for business decisions, tax filings, or regulatory compliance.

  • Reconcile accounts regularly against bank statements.

  • Review closing period summaries before finalizing period closes.

  • Verify inventory quantities and values against physical counts at appropriate intervals.

  • Consult with qualified professionals for tax, legal, accounting, and inventory-valuation matters.

Compliance

You are responsible for:

  • Complying with all applicable laws and regulations related to your business.

  • Proper income-, sales-, and other tax reporting and payment.

  • Maintaining required business records.

  • Any regulatory requirements specific to your industry.

Subscription and Payments

Subscription Terms

Access to certain features requires a paid subscription. Premium features include bank account syncing via Plaid, AI-powered transaction categorization, and the Eon voice assistant. Subscription terms, pricing, and billing cycles are presented at the time of purchase.

Payment Processing

All payments are processed by Apple through the App Store using Apple In-App Purchase, presented through the Superwall paywall SDK. No payment card or banking details ever pass through the Service or our servers. Payment terms are governed by Apple's terms of service.

Cancellation

You may cancel your subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the end of your paid period.

Refunds

Refund requests are handled according to Apple's App Store refund policies.

Intellectual Property

Our Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by us or our licensors and is protected by intellectual property laws. You may not:

  • Copy, modify, or distribute the Service.

  • Reverse engineer, decompile, or attempt to extract source code.

  • Use our trademarks, logos, or branding without permission.

  • Remove any proprietary notices from the Service.

Your Data

You retain ownership of the data you input into the Service, including any receipt or check images you upload. By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, transmit, and display your data solely to provide the Service to you.

Acceptable Use / Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose.

  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.

  • Interfere with or disrupt the Service or its underlying infrastructure.

  • Transmit viruses, malware, or other harmful code.

  • Use the Service to harass, abuse, defame, or harm others.

  • Use the Service in any way that could damage our reputation or that of our service providers.

  • Scrape, crawl, or collect data from the Service through automated means.

  • Use the Service to launder money or facilitate illegal financial activity.

  • Resell, sublicense, or redistribute the Service without authorization.

  • Circumvent subscription ownership verification or share subscriptions across accounts.

  • Attempt to bypass rate limits or otherwise abuse API endpoints.

  • Reverse engineer or attempt to extract underlying models, prompts, or proprietary logic from AI features.

  • Upload attachments containing malicious content, illegal material, or content unrelated to bookkeeping.

Third-Party Services

The Service integrates with the following third-party services:

  • Plaid: Bank account connectivity and transaction syncing.

  • OpenAI: AI-powered transaction categorization, voice assistant responses, and text-to-speech audio generation.

  • Supabase: Backend infrastructure, authentication, database, file storage, and server-side functions.

  • Apple: Subscription and in-app purchase processing (App Store / StoreKit), Speech Recognition, on-device text-to-speech, MapKit address autocomplete, biometric authentication, and crash/performance reports for users who opt in.

  • Superwall: Paywall presentation and subscription gate management.

Your use of these services is subject to their respective terms and policies. We are not responsible for the actions, content, or policies of third-party services.

Voice Assistant

Microphone and Speech Recognition

The Eon voice assistant requires microphone and speech-recognition permissions. While voice mode is on screen, the microphone is active for wake-word detection ("Hey Eon") and for capturing your spoken questions. Speech is transcribed by Apple's Speech Recognition framework, which may operate on-device or via Apple's servers depending on language and device support. Audio is never sent to our servers; only the resulting text is.

Limitations

The voice assistant is an informational tool only. It does not execute transactions, modify your data, or provide professional advice. Responses are generated by AI and may be inaccurate or incomplete. You should verify any information provided by the voice assistant before acting on it.

Service Availability

No Guarantee of Uptime

We strive to maintain reliable service but do not guarantee uninterrupted access. The Service is provided on an "as-available" basis and may be unavailable due to:

  • Scheduled maintenance.

  • Unplanned outages.

  • Technical issues.

  • Third-party service disruptions (including Plaid, OpenAI, Supabase, Apple, or Superwall).

  • Force majeure events.

Changes to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.


Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY.

  • FITNESS FOR A PARTICULAR PURPOSE.

  • NON-INFRINGEMENT.

  • ACCURACY OR COMPLETENESS OF CONTENT.

  • UNINTERRUPTED OR ERROR-FREE SERVICE.

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.

  • COST OF SUBSTITUTE SERVICES.

  • DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA.

  • DAMAGES ARISING FROM ERRORS IN AI-GENERATED CONTENT OR CATEGORIZATIONS.

  • DAMAGES ARISING FROM INACCURATE FINANCIAL DATA OR REPORTS.

  • DAMAGES ARISING FROM INVENTORY OR COGS CALCULATIONS.

  • DAMAGES ARISING FROM SALES-TAX CALCULATIONS, RATES, OR FILING OBLIGATIONS.

  • DAMAGES ARISING FROM YOUR RELIANCE ON INFORMATION PROVIDED BY THE SERVICE.

  • DAMAGES ARISING FROM THIRD-PARTY SERVICES, INCLUDING PLAID, OPENAI, SUPABASE, APPLE, OR SUPERWALL.

  • DAMAGES ARISING FROM TAX PENALTIES, INTEREST, OR AUDIT COSTS.

  • DAMAGES ARISING FROM CLOSED PERIOD ADJUSTMENTS OR LOCK DATE ENFORCEMENT.

  • DAMAGES ARISING FROM VOICE ASSISTANT RESPONSES OR RECOMMENDATIONS.

  • DAMAGES ARISING FROM LOSS OR CORRUPTION OF UPLOADED ATTACHMENTS.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Assumption of Risk

YOU ACKNOWLEDGE THAT:

  • Bookkeeping involves financial decisions with real consequences.

  • Errors in categorization, data entry, inventory tracking, or sales-tax handling may affect your financial records and tax obligations.

  • AI features may produce incorrect results.

  • You are responsible for verifying the accuracy of your financial data.

  • Professional advice should be sought for complex financial, tax, inventory, or legal matters.

  • Closing an accounting period and setting lock dates is your responsibility and does not guarantee data accuracy.

Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service.

  • Your violation of these Terms.

  • Your violation of any applicable law or regulation, including tax laws.

  • Your violation of any third-party rights.

  • Any content or data you submit to the Service.

  • Your negligent or wrongful acts.

Termination

Termination by You

You may terminate your account at any time by using the "Delete Account" feature in the Service or by contacting us. Account deletion permanently removes your data as described in our Privacy Policy.

Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we believe you have violated these Terms, abused the Service, or created risk or possible legal exposure for us or other users.

Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases.

  • We may delete your account and associated data, including revoking all Plaid access tokens and removing all stored attachments.

  • Provisions that by their nature should survive (including disclaimers, limitations of liability, and indemnification) will survive termination.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions.

Informal Resolution

Before filing a formal dispute, you agree to attempt to resolve any dispute informally by contacting us. We will attempt to resolve the dispute within 30 days.

Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware unless otherwise agreed. The arbitrator's decision shall be final and binding.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Notices

We may provide notices to you via email or through the Service.

Headings

Section headings are for convenience only and have no legal effect.

Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, providing notice through the Service. Your continued use of the Service after changes indicates your acceptance of the modified Terms.
